Bazonoid Technology offers the following services:

• Payment Solutions

3. Intellectual Property

Bazonoid Technology retains ownership of all intellectual property rights associated with the projects, including but not limited to source code, designs, graphics, and other materials developed by Bazonoid Technology.

Client Ownership: Upon full payment for the services provided by Bazonoid Technology, the client is granted a non-exclusive, royalty-free license to use the developed projects for their intended purposes outlined in the project agreement.

4. Term and Termination

Duration of Agreements: Fixed term, until the final delivery of the project.

Termination by Us: We reserve the right to terminate the agreement in the event of non-payment, breach of terms, or other valid reasons as outlined in the agreement.

Termination by the Client: Clients may terminate the agreement by providing 14 days' written notice and fulfilling any outstanding obligations as specified in the agreement.

Notice Period:  Either party must provide 14 days' written notice before terminating the agreement, unless otherwise specified in the agreement.

Effect of Termination: Upon termination, all services provided under the agreement will cease, and any outstanding fees or obligations must be settled within 15 days of termination.

Survival Clauses: The provisions regarding confidentiality, intellectual property rights, and dispute resolution shall survive the termination of the agreement.

5. Warranties and Disclaimers

Disclaimer: Due to the nature of software products, Bazonoid Technology does not offer any warranties.

Disclaimers of Liability:

• Third-party software or services: We are not liable for any malfunctions, errors, or damages caused by third-party software or services used in conjunction with your services.
• Acts of third parties: We disclaim liability for damages caused by actions or omissions of third parties, including clients, users, or other service providers.
• Force majeure events: We are not liable for delays or failures to perform your obligations due to unforeseen circumstances beyond your control, such as natural disasters, acts of war, or government regulations.
• Exclusion of Consequential Damages: We exclude liability for consequential or incidental damages, such as loss of profits, loss of data, or business interruption, to the extent permitted by law.

6. Indemnification

The client agrees to indemnify Bazonoid Technology against any claims, losses, or liabilities arising from their use of our services or their breach of the agreement.

7. Client Obligations

Outline of Client Responsibilities:

• The client is responsible for providing clear and accurate project requirements, timely feedback, approvals, and any necessary resources or materials required for the project.
• The client agrees to cooperate with our team and adhere to project milestones and deadlines.
• Timely Responses and Approvals: The client is required to provide timely responses to inquiries, feedback requests, and approval requests to avoid project delays. Failure to provide timely responses may result in adjustments to project timelines and deadlines.

Consequences for Client Non-Compliance:

• Delays or disruptions caused by the client's failure to meet their obligations may result in adjustments to project schedules and deadlines.
• Additional fees may apply for changes or revisions requested beyond the scope of the original agreement.
• Additional Fees for Changes or Revisions: Additional fees may apply for changes or revisions requested by the client beyond the scope of the original agreement. The client will be notified of any associated costs and timelines for requested changes or revisions.
• Termination of Agreement: We reserve the right to terminate the agreement if the client fails to fulfill their obligations despite reasonable efforts to resolve any issues. Termination of the agreement may result in applicable termination fees or penalties, as outlined in the agreement.

8. Payment Terms

Payment Methods: Accepted payment methods include bank transfers and UPI.

Payment Timelines: Payment terms are as follows:

• Initial 50% of the total payment is required for starting the project.
• The remaining 50% amount must be paid after final delivery (production).

Late Payment Fees: A late payment fee of 10% will be charged for payments not received by the specified due dates. Clients will be notified of any late payment fees or penalties incurred, and payments must be made within 7 days to avoid additional charges.
